General Terms and Conditions

For Business Central Apps provided by Northern Dynamic GmbH

Scope: These terms apply to all software extensions (“Apps”) provided by Northern Dynamic GmbH via Microsoft AppSource or direct distribution.

1. Subject of Agreement

1.1. Northern Dynamic GmbH (hereinafter “Provider”) provides the customer (hereinafter “User”) with software extensions for Microsoft Dynamics 365 Business Central for rent (SaaS) or purchase.

1.2. The specific scope of functions is defined in the respective product description on Microsoft AppSource or the accompanying documentation.

1.3. The offer is aimed exclusively at businesses (B2B).

2. Rights of Use & Trials

2.1. Upon installation, the Provider grants the User a non-exclusive, non-transferable right to use the App within their own Microsoft Tenant for the duration of the contract.

2.2. Trial Versions: If a free trial period is offered, it may be used exclusively for evaluation purposes. There is no entitlement to support or permanent availability during the trial phase.

3. Warranty & Disclaimer

3.1. No Tax or Legal Advice: The Apps support technical processes (e.g., data exports, calculations). The Provider expressly assumes no liability for the fiscal, accounting, or legal correctness of the processed data. Compliance with legal regulations remains the sole responsibility of the User.

3.2. Liability is limited to intent and gross negligence. In cases of slight negligence, the Provider is only liable for the breach of essential contractual obligations, limited to foreseeable, contract-typical damages.

3.3. The Provider is only liable for data loss if the User has ensured through regular backups that the data can be reconstructed with reasonable effort (Note: In the SaaS environment, this is primarily the responsibility of Microsoft and the User).

4. Technical Requirements & Updates

4.1. The Apps are designed for use with the currently supported versions of Microsoft Dynamics 365 Business Central.

4.2. Breaking Changes: Microsoft regularly updates the platform. The Provider strives to ensure compatibility in a timely manner (“Maintenance”) but cannot guarantee uninterrupted functionality in the event of major updates by Microsoft.

5. Pricing & Billing

If billing is handled via Microsoft AppSource (Commercial Marketplace), the payment terms and conditions listed there apply. For direct billing, the payment terms stated on the invoice apply.

6. Final Provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is the registered office of Northern Dynamic GmbH.
